1. Acceptance of Terms
By accessing and using Hutton Tech Solutions services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
These terms apply to all visitors, users, and others who access or use our services.
2. Services Description
Hutton Tech Solutions provides:
- AI consulting and strategy development
- Custom AI model development and training
- AI agent development and deployment
- AI hosting and infrastructure services
- Ongoing support and maintenance
- Training and education services
Service Availability
We strive to maintain 99.9% uptime for hosted AI services, but cannot guarantee uninterrupted service due to maintenance, updates, or unforeseen circumstances.
3. User Responsibilities
Data Provision
You are responsible for:
- Ensuring you have rights to all data provided for AI training
- Compliance with applicable data protection laws
- Accuracy and quality of training data
- Obtaining necessary consents for data use
Acceptable Use
You agree not to use our services to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Create harmful, discriminatory, or biased AI models
- Attempt to reverse engineer our proprietary methods
- Use services for illegal or unethical purposes
4. Intellectual Property
Your Data and Models
- You retain ownership of all data provided to us
- Custom AI models trained on your data belong to you
- You grant us license to use your data solely for developing your AI solutions
- We will not use your proprietary data for other clients or general model training
Our Intellectual Property
- Our methodologies, frameworks, and general AI techniques remain our property
- Software platforms and infrastructure belong to Hutton Tech Solutions
- General knowledge and best practices may be applied to other projects
5. Payment Terms
Project-Based Services
- Payment terms are specified in individual project agreements
- Typical payment schedule: 50% upfront, 50% upon completion
- Additional work requires written approval and separate billing
Ongoing Services
- Hosting and maintenance fees are billed monthly
- Support services are billed based on agreed hourly rates
- Payment is due within 30 days of invoice date
Late Payments
Late payments may result in:
- Suspension of hosting services after 60 days
- Interest charges of 1.5% per month on overdue amounts
- Collection fees and legal costs
6. Disclaimers and Limitations
AI Performance
- AI models are probabilistic and may produce unexpected results
- We cannot guarantee specific performance metrics or outcomes
- Results depend heavily on data quality and business context
- Continuous monitoring and adjustment may be required
Important Limitation of Liability
Our liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages.
7. Data Security and Privacy
We implement industry-standard security measures, but you acknowledge that:
- No system is 100% secure
- You should maintain your own data backups
- You are responsible for access control on your end
- Breach notification will be provided as required by law
8. Termination
By You
- You may terminate services with 30 days written notice
- Prepaid fees for unused services may be refunded pro-rata
- You are responsible for data export before termination
By Us
We may terminate services immediately if you:
- Violate these terms of service
- Fail to pay invoices after 90 days
- Use services for illegal purposes
- Breach confidentiality or security requirements
Data Retention After Termination
- Your data will be available for download for 30 days
- After 30 days, data may be permanently deleted
- Backups may be retained for legal compliance purposes
9. Confidentiality
Both parties agree to maintain confidentiality of:
- Proprietary business information
- Technical specifications and methodologies
- Financial information and pricing
- Any information marked as confidential
This obligation survives termination of services for 5 years.
10. Governing Law and Disputes
These terms are governed by the laws of British Columbia, Canada.
Dispute Resolution
- Good faith negotiation for 30 days
- Mediation through BC Mediation Services
- Binding arbitration if mediation fails
- Court proceedings only for injunctive relief
11. Changes to Terms
We may modify these terms at any time. Changes will be effective:
- Immediately for new users
- 30 days after notification for existing users
- Continued use constitutes acceptance of new terms
